1. Acceptance of Terms

Welcome to Tactico ("we," "our," or "us"). By accessing or using our website at tactico-three.vercel.app (the "Site") and our sports tactical planning platform (the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Service. By creating an account or using the Service, you represent that you are at least 18 years old or have the consent of a parent or guardian.

2. Service Description

Tactico is a web-based sports tactical planning platform that allows coaches, teams, and individuals to:

• Create and visualize tactical formations for various sports (soccer, basketball, football, hockey, volleyball)
• Design plays and strategies using our digital canvas tools
• Export tactical diagrams as images or videos
• Save and manage tactical plans (Pro feature)
• Access pre-built formation libraries (Pro feature)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Subscriptions & Billing

4.1 Free Plan

Tactico offers a free plan with limited features. Free plan users have access to:

• Basic tactical canvas for all supported sports
• Drawing tools and annotations
• Screenshot exports with Tactico watermark
• Limited color options

4.2 Pro Subscription

Our Pro subscription ("Tactico Pro") is billed at $4.99 per month. Pro subscribers receive:

• All free plan features
• 100+ professional formations library
• Custom team colors
• Watermark-free exports
• Video recording
• Unlimited cloud saves
• Priority support

4.3 Billing

By subscribing to Tactico Pro, you authorize us to charge your payment method on a recurring monthly basis until you cancel. All payments are processed securely through Stripe. You agree that:

• You will provide valid payment information
• You authorize recurring charges to your payment method
• Subscription fees are billed in advance each billing cycle
• All fees are stated in US Dollars (USD)

4.4 Price Changes

We reserve the right to change subscription prices. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.

5. Free Trial

We may offer a 7-day free trial for new subscribers. During the trial:

• You will have full access to Pro features
• A valid payment method is required to start the trial
• You will not be charged during the trial period
• If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged

6. Cancellation & Refunds

6.1 Cancellation

You may cancel your subscription at any time through:

• Your Tactico Profile page
• The Stripe customer portal
• Contacting us at [email protected]

Upon cancellation:

• You will retain access to Pro features until the end of your current billing period
• Your account will revert to the free plan after the billing period ends
• Your saved data will be retained but some Pro features will become inaccessible

6.2 Refund Policy

Due to the digital nature of our Service:

• Free trial users: No charge occurs if cancelled within the trial period
• Monthly subscribers: No refunds for partial months. You maintain access until the end of your billing period
• Exceptions: Refunds may be considered on a case-by-case basis for technical issues that prevented use of the Service. Contact us within 7 days of the charge

7. User Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Share your account credentials with others
• Resell, redistribute, or commercially exploit the Service without authorization
• Upload malicious code or content
• Harass, abuse, or harm others through the Service
• Circumvent any access restrictions or usage limits

8. User Content

8.1 Your Content

You retain ownership of any tactical diagrams, formations, or other content you create using the Service ("User Content"). By using the Service, you grant us a limited license to store and display your User Content solely for the purpose of providing the Service to you.

8.2 Content Responsibility

You are solely responsible for your User Content. You represent that you have all necessary rights to create and share your content and that it does not infringe on any third-party rights.

8.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its design, graphics, logos, software, and all related content, is owned by Tactico and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our intellectual property
• Use our trademarks or branding without permission
• Create derivative works based on the Service

9.2 Feedback

If you provide feedback or suggestions about the Service, you grant us the right to use such feedback without compensation or attribution.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OF DATA TRANSMISSION

We do not guarantee that the Service will meet your requirements or that any errors will be corrected. Your use of the Service is at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACTICO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, OR GOODWILL
• INTERRUPTION OF BUSINESS
• ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS MAY NOT APPLY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tactico and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

13. Termination

13.1 Termination by You

You may terminate your account at any time by canceling your subscription and ceasing to use the Service.

13.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, including if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Pose a security risk to the Service

13.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and User Content
• Provisions that should survive (intellectual property, disclaimers, limitations of liability) will remain in effect

14. Changes to Terms

We may update these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• For material changes, we will notify you via email or through the Service
• Your continued use of the Service after changes constitutes acceptance of the new Terms

We encourage you to review these Terms periodically.

15. Governing Law & Disputes

15.1 Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

1. Informal Resolution: Contact us first to attempt to resolve the dispute informally
2. Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules

15.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.
